MUSIC SUBMISSION & EVALUATION AGREEMENT
IMPORTANT NOTICE TO ARTIST: Please read this Agreement carefully before signing and submitting your music. By signing below and submitting your materials, you agree to be bound by all the terms and conditions outlined herein.
This Music Submission & Evaluation Agreement (the "Agreement") is entered into by and between the submitting individual or entity (hereinafter referred to as "Artist", "Submitter", or "You") and Elamental Music (hereinafter referred to as "Company", "We", or "Us").
1. Purpose of Submission
You are submitting musical compositions, sound recordings, lyrics, metadata, and related materials (collectively, the "Materials") to the Company for evaluation purposes only. You grant Company a non-exclusive, royalty-free, worldwide right to stream, listen to, and evaluate the Materials internally for potential publishing, administration, representation, or sync placement opportunities.
2. No Obligation to Use or Represent
You acknowledge and agree that:
Company is under no obligation to use, exploit, represent, license, publish, or pitch the Materials.
Company is under no obligation to enter into a formal publishing, administration, or co-publishing agreement with You.
No partnership, joint venture, or employment relationship is created by this submission. If Company wishes to represent or publish Your music, a separate, formal written agreement will be negotiated and signed by both parties.
3. Warranties of Originality & Ownership
You represent and warrant that:
You are the sole and exclusive owner or authorized representative of the Materials (including both the underlying musical composition/lyrics and the master sound recording).
The Materials are 100% original and do not infringe upon the copyright, trademark, privacy, or any other intellectual property rights of any third party.
No "samples," interpolations, or third-party audio loops requiring clearance have been used in the Materials without being fully cleared and disclosed in writing to the Company.
You have the full right, power, and authority to enter into this Agreement and submit these Materials.
4. Indemnification
You agree to indemnify, defend, and hold harmless Company, its affiliates, officers, agents, and employees from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or resulting from any breach or alleged breach of Your representations, warranties, or agreements made in this Agreement.
5. Originality & Independent Development
You acknowledge that Company receives many music submissions and is also constantly creating or reviewing musical works independently. You agree that you will not be entitled to any compensation if Company independently develops or represents a song that is similar or identical in theme, structure, or style to the Materials you submitted.
6. General Terms
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. This Agreement constitutes the entire understanding between You and Company regarding this submission.

By signing below, I certify that I am at least 18 years of age, that I have read and fully understand this Agreement, and that I agree to all of its terms.
